Service Availability and Performance

While we strive to maintain high service availability, we do not guarantee uninterrupted access to the Platform. Scheduled maintenance and updates may temporarily affect service availability. We will make reasonable efforts to notify users of planned maintenance.

Purchases and Payments

All purchases made through the Platform are subject to our pricing and payment terms. You agree to provide accurate payment information and authorize us to charge your payment method for the agreed-upon amounts. Refunds, if applicable, will be processed according to our Refund Policy.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

Indemnification

You agree to indemnify, defend, and hold harmless Five Jars and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any data you submit, process, or store through the Platform.

Data Accuracy and Customer Responsibility

You acknowledge that Five Jars does not guarantee the accuracy, completeness, or reliability of any data processed through the Platform. You are solely responsible for: (a) the accuracy and legality of all data you submit; (b) ensuring your data complies with applicable laws and regulations; (c) obtaining necessary permissions and consents for data processing; and (d) maintaining appropriate backups of your data.

Service Level Disclaimers

No service level agreements, uptime guarantees, or performance commitments are provided unless specifically agreed to in a separate written agreement. The Platform is provided on an “as available” basis, and service interruptions may occur for maintenance, updates, or unforeseen circumstances.

Export Control and Compliance

You agree to comply with all applicable export control laws and regulations. You may not use the Platform in violation of any trade sanctions or export restrictions. You represent that you are not located in, or a national of, any country subject to comprehensive sanctions.

Force Majeure

Five Jars shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, or failures of third-party services or infrastructure.

API Usage and Abuse Prevention

Your use of our APIs and services is subject to reasonable usage limits. We reserve the right to implement rate limiting, suspend access, or terminate service for excessive or abusive usage patterns that impact system performance or other users.

Data Retention and Deletion

Upon termination of your account, we will retain your data for a reasonable period to allow for account reactivation. After this period, we may permanently delete your data unless legally required to retain it. You are responsible for exporting your data before termination.

Beta and Experimental Features

The Platform may include beta, experimental, or preview features that are provided “as is” without warranties. These features may be unstable, incomplete, or subject to change or discontinuation without notice.

Assignment and Transfer

Five Jars may assign or transfer these Terms and any rights hereunder, in whole or in part, without your consent in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the maximum extent permitted by law.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Five Jars regarding the Platform and supersede all prior or contemporaneous communications and proposals.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Five Jars without restriction or compensation to you. You grant us a perpetual, worldwide, royalty-free license to use such feedback for any purpose.

Regulatory Compliance and Data Protection

You are responsible for ensuring your use of the Platform complies with all applicable data protection regulations, including but not limited to GDPR, CCPA, HIPAA, and other privacy laws. You must obtain all necessary consents and permissions for data processing and maintain appropriate documentation of such compliance.

Subprocessors and Third-Party Services

You acknowledge and agree that Five Jars may engage third-party subprocessors and service providers to assist in delivering the Platform services. We maintain appropriate agreements with such parties to protect your data and ensure compliance with applicable privacy laws.

Class Action Waiver

You agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Five Jars.

Account Suspension and Termination Procedures

We may suspend your account immediately upon notice if we reasonably believe you have violated these Terms or applicable law. Before permanent termination, we will provide reasonable opportunity to cure violations where feasible. Upon termination, you must immediately cease all use of the Platform and we may delete your data as described in our data retention policy.

Audit Rights and Compliance Monitoring

Five Jars reserves the right to audit your use of the Platform to ensure compliance with these Terms, applicable laws, and usage limits. You agree to cooperate with reasonable audit requests and provide necessary documentation within 30 days of request.

Copyright Infringement and DMCA Procedures

If you believe content on our Platform infringes your copyright, please notify us with: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief that use is unauthorized; and (e) a statement that the notification is accurate and you are authorized to act on behalf of the copyright owner. We will respond to valid DMCA notices in accordance with applicable law.

Changes to Terms

We reserve the right to update or modify these Terms with reasonable notice. Material changes will be communicated via email or platform notification. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
